Agreement Overview

This End User License Agreement ("Agreement" or "EULA") is a legally binding contract governing your use of Bizappe's software applications ("App" or "Apps") made available through the Bizappe vendor account on the Atlassian Marketplace.

This Agreement consists of:

• The Bonterms Standard Agreement for Marketplace Transactions (Version 1.0), and
• Bizappe's Provider-Specific Terms

Together, these documents define the rights, obligations, and limitations applicable to you ("Customer," "User," or "you") and Bizappe ("Provider," "we," "us," or "our").

Acceptance of Terms

If you do not agree to the terms of this Agreement, including the Provider-Specific Terms, you must not download, install, access, or use the App. Continued use of the App constitutes acceptance of these terms.

If you have any questions regarding this Agreement, please contact Bizappe prior to installing or using the App.

Bizappe Provider-Specific Terms

1. License Grant; Scope of Use

Bizappe grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App solely for your internal business purposes, subject to the terms of this Agreement.

This license permits you to access and use the App in accordance with:

• The documentation provided by Bizappe, and
• The functionality and usage limits described on the Atlassian Marketplace listing.

1.1 Restrictions on Use

You may not, directly or indirectly:

• Sell, sublicense, lease, rent, or distribute the App to any third party
• Reverse engineer, decompile, disassemble, or attempt to derive the App's source code
• Modify the App or create derivative works without prior written authorization from Bizappe
• Circumvent, bypass, or interfere with any security or access controls
• Use the App for unlawful purposes, High-Risk Activities, or to transmit malware or harmful code
• Submit sensitive personal data unless expressly permitted under the Provider-Specific Terms

Failure to comply with these restrictions may result in suspension or termination of your license.

1.2 Purchases via Authorized Resellers

This EULA applies regardless of whether you acquire Bizappe Products directly from Bizappe, through the Atlassian Marketplace, a partner marketplace, an Authorized Reseller, or any other approved distribution channel.

If you purchase a license through an Authorized Reseller:

• Your permitted scope of use will be defined by the applicable order form
• The Authorized Reseller is responsible for the accuracy of order details
• Authorized Resellers are not permitted to make additional warranties, commitments, or representations on behalf of Bizappe. Bizappe is not bound by any obligations beyond those expressly stated in this Agreement.

2. Data Protection Addendum (DPA)

Bizappe is committed to safeguarding Customer Data in accordance with applicable data protection laws.

By accepting this EULA, you also agree to Bizappe's Data Protection Addendum (DPA), which governs the processing, use, and protection of Customer Data.

Bizappe's DPA aligns with and incorporates the Bonterms Data Protection Addendum by reference. The DPA applies automatically upon acceptance of this Agreement and outlines Bizappe's obligations related to data security, confidentiality, and lawful data handling.

3. Security Measures

Bizappe implements robust technical and organizational safeguards to protect Customer Data against unauthorized access, disclosure, or misuse.

Bizappe maintains security controls consistent with recognized industry standards to ensure data integrity and confidentiality.

3.1 Contact Form Information

Any personal information submitted through Bizappe contact forms is used solely for communication purposes. Bizappe does not share this information with third parties or process it beyond the scope of the original inquiry.

4. Disclaimer

Except as expressly stated in this Agreement or required by applicable law, Bizappe provides its Products and related services "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise.

Bizappe expressly disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Bizappe does not warrant that the Products will be uninterrupted, error-free, fully secure, or meet all Customer requirements. To the maximum extent permitted by law, Bizappe is not liable for delays, failures, data loss, or damages arising from use of the Products, except as expressly stated in this Agreement.

Bonterms, as the publisher of the Standard Agreement, is not a party to this Agreement and bears no responsibility for its enforcement or interpretation.

5. Language

This Agreement is written in English, which shall be the controlling language in all respects. Any translations are provided solely for convenience and are not legally binding.

All notices, communications, documentation, and support provided under this Agreement shall be conducted in English unless otherwise stated.
